A firm has two kinds of documents. Matter documents belong to a client and a case and carry privilege. Firm documents, the precedents, playbooks, and standard forms, belong to everyone and should be found by everyone. ModulawAI keeps them apart for access control and together for search.

Ask for “the indemnity we agreed with a logistics client last year” and get it, whether or not the word indemnity appears in the filename. Scanned PDFs are processed so their text is searchable too.

Drafting from precedent
The first draft starts from the firm’s last good one.
Because the precedent library is indexed, the AI legal assistant and the Word add-in draft from it. Ask for a share purchase agreement and the clauses come from the firm’s own precedents, with the source noted, rather than from a model’s memory of what such agreements usually say. Select any set of stored documents, a disclosure bundle, a lease portfolio, a target’s contracts, and ask the same questions of all of them at once. Migration
Bring the documents you already have.
Import from Google Drive, OneDrive, Dropbox and Zoho WorkDrive into matters or the firm library, or upload folders directly. Files keep their names and structure, get indexed for search, and are available to the AI from the moment they land. Firms that keep a separate document system can still reach ModulawAI through the REST API and MCP server.
Security
Privilege is a permission, not a folder name.
Access works at two levels. The matter and the role set the baseline, so a paralegal on the file sees the file and a partner in another department does not. On top of that, any single document or folder can be granted to a person, a role, a department, the whole workspace, an external guest or a link, at viewer, commenter, editor or manager level, and any grant can be given an expiry date. Share links can carry a password, disable downloading, cap the number of uses and be revoked. Documents are encrypted in transit and at rest, held in AWS data centres, backed up continuously, and never used to train AI models. Every open, edit, share and download is on the audit trail.
Evidence
The cost of not finding the document.
The best-known measurement of this is McKinsey’s 2012 study of social technologies, which found the average knowledge worker spending close to 20% of the working week looking for internal information or tracking down a colleague who could help. The figure is old and was not measured on lawyers, so treat it as an order of magnitude rather than a benchmark. Applied to a fee earner it is the difference between finding last year’s indemnity clause in thirty seconds and rebuilding it from scratch because nobody could remember which client it was drafted for.
The infrastructure question has largely been settled. The American Bar Association’s 2024 Legal Technology Survey Report found 73% of firms using cloud-based legal tools, with document management and practice management the most commonly adopted categories. What has not been settled is whether those documents are searchable in any way that survives a staff change, and whether an AI tool can read them. A folder structure that only works because one paralegal remembers the naming convention is not a document management system, whatever it is hosted on.
Where ModulawAI stops, stated plainly
Dedicated document management platforms of the iManage and NetDocuments class have two decades of specialised engineering behind them, and there are things they do that we do not. Two worth knowing before you choose:
- There is no mapped network drive or desktop filing plugin. Documents are reached through the browser, the desktop application and the Word add-in. Firms whose workflow depends on saving into a mapped drive from any Windows application should test that habit before switching.
- Records retention is a policy you operate, not a switch we flip. Matters carry closing and retention fields and the audit trail records every action, but automated destruction schedules per jurisdiction are not built in.
The trade is deliberate. What you get instead is that every document in the system is readable by the AI: the precedent library feeds drafting, and any set of stored documents can be interrogated as a grid with citations. A conventional document management system stores the file and stops there.
Confidentiality obligations that apply to whatever you choose
ABA Formal Opinion 512, issued 29 July 2024, requires a lawyer to assess, before entering information relating to a representation into a generative AI tool, whether that information could be disclosed to or accessed by others inside or outside the firm, including through outputs generated for other users of a self-learning tool. The SRA’s warning notice of 17 August 2026 puts it as a condition: client information should only be entered into AI systems where appropriate contractual, technical and organisational safeguards are in place. A document system that feeds an AI is therefore a confidentiality decision as much as a storage decision. What is legal document management software?
Legal document management software stores, versions, secures and finds the documents a law firm produces and receives, organised by matter and client rather than by folder. Good systems add a firm-wide precedent library, full-text and semantic search, controlled sharing with clients and third parties, and an audit trail. ModulawAI includes all of that inside its practice management platform and adds AI that can draft from and review the documents it stores.
How is this different from a shared drive or SharePoint?
A shared drive does not know what a matter is. It cannot restrict access by role on the file, log who shared a document with a client, keep the precedent library separate from privileged material, or answer a question about the contents of two hundred contracts. A legal document management system does those things because it models the matter, the client and the document as related objects.
Does it handle scanned documents?
Yes. Scanned PDFs are processed so their text can be searched, cited and reviewed like any other document.
Can clients access their documents?
Yes, through the client portal, where they see the documents the firm chooses to share, with the matter keeping a record of every view.
